• Local Marketing Groups:  not to exceed 3% of Gross Sales. As of the issuance date of the Franchise Disclosure Document, Window Genie may require that a portion of your LMG contribution (currently, 2% of your Gross Sales) be paid for use towards the Neighborly marketing and brand awareness initiatives.

Section V – Financial Performance Representations (Average Revenues and/or Profits) for the Window Genie Franchise (Item 19, 2024 FDD)

• This representation is a historic financial performance representation about a subset of the franchise system’s existing outlets’ past performance during the calendar year beginning on January 1, 2023 and ending on December 31, 2023.

• Window Genie obtained these figures from information provided to it by its franchisees using its software system. Franchisees are not required to use generally accepted accounting principles when reporting these figures.

• “Gross Sales” means the total revenues and receipts from whatever source (whether in the form of cash, credit, agreement to pay, barter, trade, or other consideration) that arise, directly or indirectly, from the operation of or in connection with a Window Genie business, whether under any of the Marks or otherwise.

• Gross Sales exclude sales taxes collected from customers and paid to the appropriate taxing authority and any other bona fide refunds, rebates, or discounts that the franchisor authorizes in writing. Gross Sales also exclude sales from any Excluded Services (as defined in a mutually executed Excluded Services Addendum).

• As of December 31, 2023, there were 106 Window Genie businesses in operation in the United States, all of which were franchised businesses.

• Nineteen franchised businesses closed during the 2020 Reporting Period, 17 franchised businesses closed during the Reporting Period. As these businesses were not in operation at the end of the Reporting Period, their data is excluded from this Item 19. Of the franchised businesses that closed during the Reporting Period, no business closed after being open for less than 12 months.

• Parts 1 and 2 of this Item 19 include data from 105 businesses for the Reporting Period (collectively, for purposes of Parts 1 and 2, the “Reporting Businesses”), which were all in operation and reporting sales during any part of the Reporting Period and were in operation at the end of the Reporting Period.

• Parts 1 and 2 of this Item 19 exclude data from one business that did not report reliable data for the Reporting Period.

• Recurring customers means customers that the same franchisee serviced at least twice during the Reporting Period.

• This Part 3 of Item 19 includes data from 66 businesses for the Reporting Period (collectively, the “Reporting Businesses”), which were all in operation and reporting sales during the entire Reporting Period.

• This Part 3 excludes the data from (a) 12 businesses that opened in 2023 and therefore were not in operation and reporting sales for the full Reporting Period, (b) 4 businesses that were transferred to new owners in 2023 and therefore was not in operation and reporting sales for the full Reporting Period, and (c) 24 businesses that did not report a full 12 months of data for the Reporting Period.
